UHiGINAL AMENDMENT NO.1 TO EXTEND AND AMEND AGREEMENT FOR COMMUNICATION AND EDUCATIONAL INFORMATION SUPPORT Data Instincts " Thjs Amendment NO.1 is entered into and effective as of the d 3 day of Jfrf1/'lJbfr, 2009, extending and amending the agreement dated April 10, 2009 (the " greement") by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and Data Instincts ("Consultant") (collectively, the "Parties"). RECITALS A. On April 10, 2009, the Parties executed an Agreement for Communication and Educational Information Support; and B. The Parties desire to alter the Agreement's scope of work to extend and fund the Agreement for a period of three months. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. That the Agreement, as may have been amended from time to time, is hereby extended for a period of three months ending on February 28" 2010 and Consultant will be paid an amount not to exceed an additional Thirty Six Thousand Dollars ($36,000.00). The aggregate amount for this agreement should not exceed Ninety Five Thousand Five Hundred Dollars ($95,500.00). 2. In addition to those services contained in the Agreement, as may have been amended from time to time, Consultant will provide those services and products described in Exhibit "A" at the hourly rates and costs set forth in Exhibit "B" of this Amendment NO.1. 3. Consultant will complete all work described in Exhibit "A" by February 28, 2010. 4. All other provisions of the Agreement, as may have been amended from time to time, will remain in full force and effect. 5. All requisite insurance policies to be maintained by the Consultant pursuant to the Agreement, as may have been amended from time to time, will include coverage for this Amendment.
