��IGIN�!� AMENDMENT N0.5 TO EXTEND THE AGREEMENT Agreement for Revenue Enhancement Services (MuniServices, LLC) This Amendment No. 5 is entered into and effective as of the 1st day of March, 2014, extending the agreement dated March 2, 2009 (the "Agreement") by and between the City of Redwood City, a charter city and municipai corporation of the State of California ("City"), and MuniServices, LLC, a Delaware limited liability company ("Consuitant") (coilectively, the "Parties"). RECITALS A. On (March 2, 20Q9), the Parties executed _Agreement for Revenue Enhancement Services and B. On March 2, 2010 the Parties executed Amendment NO. 1 to Extend the Agreement for Revenue Enhancement Services and C. On March 2, 2011 the Parties executed Amendment NO. 2 to Extend the Agreement for Revenue Enhancement Services and D. On February 15, 2012 the Parties executed Arnendment NO. 3 to Extend the Agreement for Revenue Enhancement SeNices and E. On March 1, 2013 the Parties executed Amendment NO. 4 to Extend the Agreement for Revenue Enhancement Services and F. The Parties desire to extend the Agreement for a period of one ear); and NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. The Agreement, as may have been amended from time to time, is hereby extended for a period of one year ending on March 1, 2015. 2. All other provisions of the Agreement, as may have been amended from time to time, shall remain in full force and effect. 3. All requisite insurance policies to be maintained by the Consultant pursuant to the Agreement, as may have been amended from time to time, shall include coverage for this Amendment.
