ORIGINAL AMENDMENT NO.1 TO EXTEND THE AGREEMENT BETWEEN SAN MATEO COUNTY LIBRARY JOINT POWERS AUTHORITY AND THE CITY OF REDWOOD CITY ["LICENSE AGREEMENT"] This Amendment No.1 is entered into and effective as of July 1,2005, extending the agreement dated December 18, 2002 (the "License Agreement") by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and San Mateo County Library Joint Powers Authority ("JPA") (collectively, the "Parties"). RECITALS A. The Parties desire to extend the License Agreement for a period of one year. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Paragraph 2. (Term) of the License Agreement is amended in its entirety to read as follows: "The term of this Agreement shall be extended to June 30, 2006." 2. All other provisions of the Agreement, as may have been amended from time to time, shall remain in full force and effect. 3. The individuals executing this Amendment and the instruments referenced on behalf of JPA each represent and warrant that they have the legal power, right and actual authority to bind JPA to the terms and conditions hereof of this Amendment.
