<br />78 <br />Page 16 <br /> <br />28. SJ.!ITiYSli. Buyer's obligation to testore any damage to, or alteration of, the <br />Property resulting from its inspections shall survive termination of this Agreement for any <br />reason. <br /> <br />29. Other Forms and Disclosures. The Parties shall complete any additional forms or <br />disclosures required by applicable law or the Title Company, which mayor may not include a <br />Notice of Supplemental Property Tax Bill. <br /> <br />30. Conditions Precedent. The following shall be conditions precedent to Buyer's <br />obligation to proceed to Closing: (i) at Closing, the Title Company shall issue an AL T A policy <br />of title insurance insuring Buyer as the fee simple owner of the Real Estate, in the full amount of <br />the Purchase Price and as of Closing, subject to no Required Cure Items; (ii) Seller shall have <br />performed its obligations required by this Agreement; and (iii) the representations and warranties <br />of Seller to Buyer shall be true and correct at Closing as if specifically re-made at that time. In <br />the event of the failure of any of the foregoing conditions precedent, Buyer may terminate the <br />Agreement by written notice to Seller, in which event the Deposit shall be promptly returned to <br />Buyer. Alternatively, Buyer may keep this Agreement in effect and suspend its performance <br />under this Agreement until such conditions precedent have been satisfied. <br /> <br />31. OffeLand Acceptance. Seller has executed and delivered this Agreement as of the <br />date first set forth above. Seller's execution and delivery of this Agreement to Buyer constitutes <br />an offer to sell the Property to Buyer on the terms and conditions set forth in this Agreement (the <br />"Offer"). The Offer may be accepted only by Buyer's execution of this Agreement in the <br />signature block set forth below and the delivery of this Agreement to Seller.
