ATTORNEY'S FEES: If any action is brought in any state, federal, or bankruptcy court <br />to enforce the terms of this Agreement, the prevailing party shall be entitled to recover its <br />attorney's fees, which shall be payable whether or not the action is prosecuted to <br />judgment. <br /> <br />GOVERNING LAW, VENUE: This Agreement shall be construed and enforced in <br />accordance with the law of the State of California. Venue shall be the County of San <br />Mateo, California, or the closest Federal Court having jurisdiction. <br /> <br />MISCELLANEOUS: This Agreement can only be altered by a writing signed by both <br />parties. Any notice relating to this Agreement must be made in writing addressed as set <br />forth below, or any other address as may be designated by the parties. In the event any <br />provision or portion of any provision of this agreement is held to be invalid, void or <br />unenforceable, the rest of the Agreement shall remain in full force and effect.
