6.1 D <br /> Page 3 <br /> AGREEMENT F4R CONSULTlNG ENIGINEERING SERVICES <br /> �V�A Consulting Engineers, Inc.) <br /> THIS AGREEMENT is made and entered into as of the day of <br /> , 2009, by and betuveen th� C1TY OF REDWO�D CITY, a charter <br /> ci#y and municipal corporation of the State of California {"City"), and V&A Consulting <br /> Engineers, Inc., a California corporation�"Consul#ant"} (collectively, the "Parties"}. <br /> REC tTALS <br /> A. C�ty requires the professional ser�ices af a consulting engineering firm <br /> that is experienced in e�aluation and design of cathodic protecfiion for water pipeline <br /> systems. <br /> B. Consultant has the necessary experience in pro�iding prafessional <br /> sen►ices and advice related ta the Seaport Boulevard — Water Transmission Pipelines <br /> Ca#hodic Protection Project. <br /> C. Selection of Consul#ant is expected to achieve the desired results in an <br /> expedited fashion. <br /> D. Consul#an# has submitted a proposal to Cit}r and has affirmed its <br /> willingness and ability#o perform such work. <br /> NOW, THEREFQRE, in consideration of these recitals and the mutual co�enants <br /> cantained herein, the Parties agree as follows: <br /> 1. Scope of Work. City retains Consultant to perform, and Consul#ant agrees to <br /> render, those secvices {#he "Serviees") that are defined in attached Exhibit "A," which is <br /> incorporated by this reference in accordance with this Agreement's #erms and <br /> conditions. <br /> 2. Standard of Performance. While performing the Services, Consultant will <br /> exercise the reasonable professional care and ski(1 customarily exercised by reputable <br /> membe�s of Consuitant's profession prac#icing in the Metropoiitan Northern California <br /> Area, and will use reasonable diligence and best judgment while exercising its <br /> prafessional skil� and expertise. <br /> 3. Term. Unless earlier terminated, the term of this Agreement will commence upon <br /> the date first above written and sha!! expire upon completion of performance of Senrices <br /> hereunder by Consultant. <br /> 4. Schedule.
