The dissolution, merger, consolidation, or other <br /> reorganization of the Licensee's corporation, association, partnership or limited <br /> liability company or the safe or other transfer of fifty one percen# (51%) or more of <br /> fhe assets of the corpora�ion shall be deemed an assignmen#within the mea�ing <br /> and pro�isions of this Paragraph. !f the Licensee shal! assign fifty one percent <br /> (51%} or more of the ownership of Hidden Dragon Tea Hau�e, License� shall <br /> provide written notice sixty days (GO) before the assignment. LIENS <br /> 12.1 Licensee shall not permit any mechanic's or materia! men's liens, s#op notices or <br /> other [iens (collectively "Liens"} fio be filed agair�t the Pre�ise� nor a���r�st <br /> Licensee's interest therein by reason of labor or materiafs furnished to the <br /> Premises at Licensee's instance or request. If any such liens are �iled agains# <br /> the P�ernises, Licensee shafl cause the sa�ne E� be discharg�d of rec�rd, e�ther <br /> by payrnent of the claim or by posting and recording fihe bond contemp(ated by <br /> the Caiifarnia Ci�il Code Sectian 3143, within 2� days after demand by Ciiy. <br /> Licensee shall indemnify, hold harmiess, and defend City from and against any <br /> such liens. <br /> '13. ABAND{JNIVIENT <br /> 13.1 Licensee shall not vacant or abandon the Premises a# any time during the term <br /> hereof, and if Licensee shall abandon, vacate or surrender the �icensed <br /> Premises, or be dispossessed by process o# �aw or otherwise, it shai( be a <br /> material default under this Agreement. <br /> 14. LICENSEE'S BROKER Ct�MMtSStON <br /> 14.1 In the event a license is executed between �icensor and �icensee as to the <br /> Premises, Lieensor is not responsib�e for payment of any comrnission to any <br /> person.
