<br />16. MULTIPLE VENDORS <br />16.1 Lessee agrees that it will abide by, keep and observe all reasonable rules and <br />regulations, as designated in Exhibit C which City may make from time to time <br />for the management, safety, care, and cleanliness of Courthouse Square, the <br />parking of vehicles and the preservation of good order therein as well as for the <br />convenience of other occupants and lessees of Courthouse Square. The <br />violations of any such rules and regulations shall be deemed a breach of this <br />Lease Agreement by the Lessee. <br /> <br />17. SECURITY MEASURES <br />17.1 Lessee hereby acknowledges that the rent payable to Agency hereunder does <br />not include the cost of guard service or other security measures, and that Agency <br />shall have no obligation whatsoever to provide same. Lessee assumes all <br />responsibility for the protection of Lessee, its agents and invitees from acts of <br />third parties, and shall indemnify, defend, and hold harmless Agency for claims <br />related to failure to provide security. Any provision of security services provided <br />by Agency shall not constitute acceptance of liability for acts on the Premises. <br /> <br />18. LOCKS <br />18.1 If Lessee adds or changes locks to its assigned Concession space, Lessor shall <br />be given copies of all manufactured keys. Lessee shall notify Lessor of its intent <br />or action to change locks within forty-eight (48) hours of such intent or action. <br />Lessor shall at all times have the necessary keys that enable access to the <br />lessee's assigned Concession space. <br /> <br />19. ASSIGNMENT <br />19.1 Lessor's Consent Reauired. Lessee may not assign its rights under the Lease, <br />nor any interest therein, and shall not encumber the Premises or any part <br />thereof, nor any right or privilege appurtenant thereto, nor allow or permit any <br />other person(s) to occupy or use the Premises, or any portion thereof, without <br />Lessor's prior written approval, which shall be in the sole discretion of Lessor. <br />Consent by Lessor to one assignment, occupation or use by another person shall <br />not be deemed to be consent to any subsequent assignment, occupation or use <br />by another person. <br /> <br />It is agreed that Lessor will not be acting unreasonably in refusing to consent to <br />an assignment or sublease if, in Lessor's opinion, the quality of the <br />merchandising operation of the proposed assignee or sublessee is not equal to <br />or better than that of the Lessee, or if the net worth of such assignee or <br />sublessee is less than that of Lessee. <br /> <br />No assignment or encumbrance by Lessee shall release it from or in any way <br />alter any of Lessee's obligations under this Lease. Lessee shall not have the <br />Premises delivered to a subsidiary company of Lessee, and such arrangement <br />shall in no way alter Lessee's responsibilities hereunder with respect to the <br />Premises. Any assignment, encumbrances, occupation or use contrary to the <br />provisions of this Lease shall be void and shall constitute breach of this Lease. <br />Lessor may assign any of its rights hereunder without notice to Lessee, or Lessor <br />may terminate this Agreement.
