<br />ORIGINAL <br /> <br />LICENSE AGREEMENT <br />(License Area 1 A - 2202 Broadway) <br /> <br />THIS AGREEMENT ("Agreement" or "LICENSE") is entered into as of <br />, 2009, by and between: the City of Redwood City, a chartered <br />mUnlclpa co ratio ("Licensor"), and HD Food Service Inc., d.b.a. "Hidden Dragon Tea <br />House," hereinafter referred to as "Licensee." <br /> <br /> <br />RECITALS: <br /> <br />A. WHEREAS, on May 3, 2005, the City of Redwood City entered into a 55-year with <br />four 10-year renewal periods available agreement with the County of San Mateo, <br />"Cooperative Agreement between the County of San Mateo and the City of Redwood <br />City for Preservation of the Historic County Courthouse Block, Removal of the South <br />Annex, Reconstruction of the Courthouse Fagade and Creation of a Courthouse <br />Plaza, and Grant of Easement and License", herein ("Cooperative Agreement') <br /> <br />B. WHEREAS, the Cooperative Agreement was amended on August 24, 2006 through <br />the First Amendment to the Cooperative Agreement between the County of San <br />Mateo and the City of Redwood City for Preservation of the Historic County <br />Courthouse Block, Removal of the South Annex, Reconstruction of the Courthouse <br />Fagade and Creation of a Courthouse Plaza, and Grant of Easement and License <br />("First Amendment") to expand the Project to include the construction and placement <br />of a restroom facility. <br /> <br />C. WHEREAS, the Cooperative Agreement provides the City authority to sublet any or <br />all portions of the Courthouse Square, including licenses to vendors, without the <br />consent of the County for the purposes of maintaining the Courthouse Square as a <br />public plaza. <br /> <br />D. WHEREAS, Licensor has possession of that portion of Courthouse Square identified <br />as "License Area "1A" (the "License Area") described in the legal description and plat <br />map identified as Exhibit "A" and illustrated in the site layout identified as Exhibit <br />"B", both exhibits are attached hereto and incorporated herein by reference, which <br />structure is located within Courthouse Square in the City of Redwood City, County of <br />San Mateo, State of California (the "Licensor's Property Interest" and the <br />"Premises"). <br /> <br />E. WHEREAS, Licensee wishes to obtain a license to use License Area 1A of the <br />Courthouse Square for the use of 16 tables and 32 chairs provided by the Licensor. <br /> <br />F. WHEREAS, Licensor and Licensee wish to enter into an agreement for the use of <br />the Premises by Licensee, its agents, and customers. <br /> <br />NOW THEREFORE, the parties agree as follows: <br /> <br />1. GRANT OF LICENSE <br />1.1 Subject to the terms and conditions set forth herein, Licensor hereby grants to <br />Licensee the non-exclusive use of the License Area, measuring 1,362 square <br />feet, only for the purpose of walk-up business, pick ups and deliveries, and <br />outdoor seating in conjunction with Licensee's business conducted in Lease Area <br /> <br />ATTY/AGR/2009.025 <br />061609 <br /> <br />~InitialS <br /> <br />Page 1 <br />
