City wili evaluate Consultant's duties pursuant to this <br /> Agreement to dete�mine v►rhether disclosure under the Politica! Reform Act and City's <br /> Conflict o�f Int�rest Code is required o� Consuftant or any of Consultant's employees, <br /> agents, or subcontractors. Should it be determined that disclosure is required, <br /> Consultant or Consultant's affected ernployees, agents, or subcontractors wil� camplete <br /> and fife with the City Clerk those schedules specified by City and contasned �n the <br /> Statement of Economic Interest� Form 7D4. <br /> Consultant, for Consultant and on behalf of Consultant's agents, employees, <br /> subcontractors and consultants warrants that by execution o� #his Agreement, that they <br /> � have no interest, present or contemplated, in the projects affec#ed by this Agreement. <br /> Consultant fur#her warrants that neither Consultant, nor Consultanfi's �agents, <br /> emp!oyee�, subcontractors and consulfian�s have any ancillary rea! praperty, business <br /> interests or income that wifl be afifected by this Agreement or, alterna#i�e(y, that <br /> Consultant will fiie with the City an affida�it disclosing this interest. <br /> 18. Generai Complian�e with Laws. Consultant will keep fuliy informed of federal, <br /> state and locai laws and ordinances and regulations which in any manner afFect those <br /> employed by Consultant, or in any way affect the perfo�nance of the Senrices by <br /> Consultant. Consultant will at a�l times observe and compiy with these lauvs, <br /> ordinances, and regulations and will be responsible far the compliance of Consultant's <br /> Services wifih all applicable laws, ordinances and regulations. <br /> '[9, Discrimination and Harassment Prohibited. Consultant will comply with afl <br /> applicable iocal, state and federal laws and regulations prohibiting discrimination and <br /> harassment. <br /> 20. Termination. [n the event of the Consultant's failure to prosecute, deliver, or <br /> perform the Services, City may terminate fihis Agreement for nonperformance by <br /> notifying Consultant in writing pursuant to the notice provisions of this Agreement. If <br /> City decides to abandon or indefinitely postpone the work or services contempiat�d by <br /> this Agreement, City may terminate this Agreement upon written notice to Cvnsultant <br /> pursuant to the notice provisions of this �greement. Termination wil� be effecfive <br /> immediately upon notification. Consultant has fi�e (5) business days to deliver any <br /> documents owned by Ci#y and all work in progress to City address confiained in this <br /> Agreement. City will make a determinativn of fact based upon the v+rork product <br /> delivered to City and of the percentage of work that Consu{tant has perFormed which is <br /> usable and of worth to City in having the Agreement completed.
