<br />years from the termination date of this Agreement, or until audit <br />findings, if any, are resolved, whichever is greater. <br /> <br />Section 6.07. Approvals. <br /> <br />a. Approvals required of the Agency, the Ci ty or <br />Participant, or any officers, agents or employees of the Agency, <br />the City or Participant, unless a different standard is specified, <br />shall not be unreasonably wi thheld and approval or disapproval <br />shall be given within the time set forth in the Schedule of <br />Performance or, if no time is given, within a reasonable time. <br /> <br />b. The Executive Director of the Agency, or his or her <br />designee, and the City Manager of the City, or his or her designee, <br />is authorized to sign on his own authority amendments to this <br />Agreement which are of routine or technical nature, including minor <br />adjustments to the Schedule of Performance. <br /> <br />Section 6.08. Real Estate Commissions. <br /> <br />Neither the Agency nor the City shall be liable for any <br />real estate commissions, brokerage fees or finder fees which may <br />arise from or related to this Agreement. <br /> <br />The Agency, the City and Participant represent to each other <br />that neither has retained or entered into any agreement with any <br />broker in connection with the sale of the Property or negotiation <br />of this Agreement. <br /> <br />Section 6.09. <br /> <br />Indemnification. <br /> <br />Participant shall indemnify and save harmless the Agency, <br />its Board, the City, its Council, and their respective officers, <br />boards, commissions, agents and employees (collectively, <br />~Indemnitees") from all claims, suits or actions of every name, <br />kind and description, brought for, or on account of, injuries to or <br />death of any person, or damage to property of any kind whatsoever <br />and to whomsoever belonging, including but not limited to, the <br />concurrent passive negligence of the City, its Council, and their <br />respective officers, boards, commissions, agents, and employees, <br />resul ting from the performance of any work required by this <br />Agreement, provided that this shall not apply to injuries or damage <br />caused by the gross negligence or willful misconduct of <br />Indemnitees, or anyone of them. <br /> <br />The duty of Participant to indemnify and save harmless, <br />as set forth herein, shall include the duty to defend as set forth <br />In Section 2778 of the California Civil Code. <br /> <br />Section 6.10.
