<br />6.18 <br />Page 17 <br /> <br />ORIGH\AL <br /> <br />FIRST AMENDMENT TO THE COOPERATIVE AGREEMENT <br />BETWEEN THE CITY OF REDWOOD CITY AND THE COUNTY OF SAN MATEO <br />FOR PUBLIC USE OF THE COUNTY OF SAN MATEO <br />PARKING STRUCTURE AND PARKING LOT <br />LOCATED AT MIDDLEFIELD ROAD AND VETERANS BOULEVARD <br />IN THE CITY OF REDWOOD CITY <br /> <br />THIS FIRST AMEND~NT TO THE COOPERATIVE AGREEMENT is made and <br />entered into this do;), day of n ~ 'i 2007 (the "First Amendment"), <br />by and between the County of San Mateo, a political subdivision of the State of <br />California ("County"), and the City of Redwood City, a charter city and municipal <br />corporation of the State of California ("City") Oointly, the "Parties" or individually, a <br />"Party"). <br /> <br />THIS FIRST AMENDMENT IS MADE IN LIGHT OF THE FOLLOWING FACTS: <br /> <br />A. The Parties entered into a certain Cooperative Agreement dated September 23, <br />2003 (the "Cooperative Agreement"). <br /> <br />B. The Cooperative Agreement makes available to the City for public use certain <br />parking facirities of the County described therein as the Parking Structure and the <br />Parking lot during the hours set forth in Exhibit At Section A (City Hours of <br />Operation) of the Cooperative Agreement. <br /> <br />C. In order to facilitate further use by the public, the County is willing and desires to <br />modify the City Hours of Operation. Such modification requires a change to <br />Exhibit A to the original Cooperative Agreement, and no other changes. <br /> <br />D. The Parties desire to continue their longstanding history of cooperation and <br />collaboration on projects of mutual benefit by entering into this First Amendment <br />to the Cooperative Agreement. <br /> <br />NOWt THEREFORE, IN CONSIDERATION OF THE MUTUAL COVENANTS <br />AND CONDITIONS CONTAINED HEREIN, the Parties agree as follows: <br /> <br />1. Exhibit A of the Cooperative Agreement (Tenns and Conditions), is hereby <br />deleted in its entirety and replaced with the attached Exhibit A-1: <br /> <br />2. Except for the replacement of Exhibit A by Exhibit A..1, all of the terms and <br />conditions of the original Cooperative Agreement are, and shall remain, in full force and <br />effect. <br /> <br />3. The Parties may execute counterparts of this First Amendment to the <br /> <br />1 <br />
