<br />6.1F <br />Page 3 <br /> <br />AMENDMENT NO.1 TO EXTEND AND AMEND AGREEMENT FOR <br />ASPHALT CONCRETE MATERIALS PURCHASE <br />WITH GRANITEROCK COMPANY <br /> <br />This Amendment No. 1 is entered into and effective as of the _ day of <br />,2009, extending and amending the "Agreement for the City <br />of Redwood City 2008-2009 Asphalt Concrete Materials Purchase dated October 6, <br />2008 (the "Agreement") by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California ("City"), and Graniterock Company, <br />("Suppliern) (collectively, the "Parties"). <br /> <br />RECITALS <br /> <br />A. The Parties desire to extend and fund the Agreement for a period of one <br />year beginning September 1 f 2009 through August 3D, 2010. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. In addition to services, supplies and materials contained in the Agreement, <br />as may have been amended from time to time, Consultant will continue to provide those <br />services, supplies and materials described in Exhibit nAil of the Agreement. With this <br />Amendment, the aggregate Agreement amount shall not exceed Four Hundred Seventy <br />Thousand dollars ($470,000.00). <br /> <br />2. City will pay Consultant for all work associated with those services, <br />supplies and materials described in Exhibit "A" of the Agreement on a time and <br />materials basis not..to-exceed Two Hundred Fifty Thousand dollars ($250,OOO.OO). <br />Consultant will provide City, on a monthly basis, copies of invoices sufficiently detailed <br />to include hours performed, hourly rates, unit costs, pick up costs, and related activities <br />and costs for approval by City. <br /> <br />3. Consultant will complete all work described in Exhibit "A" within the current <br />agreement year as stated in the recitals, and shall provide the materials ordered when <br />requested by the City. <br /> <br />4. All other provisions of the Agreement, as may have been amended from <br />time to time, will remain in full force and effect. <br /> <br />5. All requisite insurance policies to be maintained by the Consultant <br />pursuant to the Agreement, as may have been amended from time t6 time, will include <br />coverage for this Amendment. <br /> <br />6. The individuals executing this Amendment and the instruments referenced <br />in it on behalf of Consultant each represent and warrant that they have the legal power, <br /> <br />Amend No.1 Graniterock <br />081209 <br />
