ORIGINAL AMENDMENT NO.1 TO AGREEMENT FOR SERVICES CITY OF REDWOOD CITY AND REDWOOD CITY REDEVELOPMENT AGENCY (Administrative Services) This Anlendment No. 1 to Agreement for Services ("Amendment") is entered into and effective as of July 1, 2008, between the REDEVELOPMENT AGENCY OF THE CITY OF REDWOOD CITY, a public body, corporate and politic, duly organized and existing under the laws of the State of California ("Agency"), and the CITY OF REDWOOD CITY, a charter city and municipal corporation, organized and existing under the laws of the State of California ("City'l) (collectively, the "Parties"), to modify and amend that certain Agreement for Services, dated January 8,2003, and effective as of July 1,2002 (the "Agreelnent") between the Parties. Recitals WHEREAS, the Agency and City entered into the Agreement pursuant to which City has agreed to provide to Agency certain administrative services (the "Services") to assist Agency in operating its day-to-day functions, and Agency has agreed to reimburse City for such Services, all as set forth in the Agreement; and WHEREAS, the Parties now desire to modify and amend the Agreement as set forth herein, to clarify the Services and procedures to be followed for reimbursement of the costs of such Services provided, as set forth herein. A2reements NOW, THEREFORE, the parties do hereby mutually agree as follows: 1. Scone of Services. The Scope of Services, set forth in the Exhibit A, attached to and incorporated in the Agreement by reference, is hereby amended, modified and replaced in its entirety with the Scope of Services (Revised), attached hereto, labeled Exhibit A, and incorporated herein by reference. 2. Compensation. Section 2 of the Agreement is hereby amended, modified and replaced in its entirety with the following: "2. Proposed Budget: Compensation. Prior to or at the begilming of each Fiscal Year, the Agency shall submit to the City, for review and approval~ a proposed budget for such Fiscal Year ("Annual Budget"). The Annual Budget shall include, alnong other things, the projected budget for the Services to be provided by the City to the Agency as set out in Exhibit A, including a list of the City staff positions and projected percentage of time and/or costs applicable to such staff positions to be allocated to the Agency for such Fiscal Year, and all other costs for office space, furnishings, equipment and other services and supplies anticipated to be provided by the City for or ) ) 09332v3 33786/0001
