CentralSquare Professional Services Fees ($81,720) are due as incurred and invoiced monthly. <br />b. The Annual Subscription Fee for the first year of the Term ($62,500) is due on the Execution Date, and <br />subsequent years will be invoiced annually in advance of the anniversary of the Execution Date. The Annual <br />Subscription Fee shall be subject to an annual increase of 4% annually. The breakdown of Annual Subscription <br />Fees shall be: <br />Year One- $62,500 <br />Year Two- $65,000 <br />Year Three- $67,600 <br />c. Third Party Subscription Fees for the first year of the Term is due on the Execution Date, and subsequent years <br />will be invoiced annually in advance of the anniversary of the Execution Date. <br />d. End Billing of Previous Support. Upon commencement of billing for the Annual Subscription Fee, Customer <br />acknowledges the termination of the current maintenance billing structure for any legacy products that will be <br />effectively replaced by modules listed in Exhibit 1. Customer will be entitled to a credit of any unused <br />Maintenance and Support fees previously paid on any legacy products.
