<br />Insurance Coverages
<br />• Insurance. CentralSquare shall obtain and maintain for the duration of the Agreement and any and all amendments,
<br />insurance against claims for injuries to persons or damage to property, which may arise out of or in connection with
<br />performance of the Services by CentralSquare or CentralSquare's agents, representatives, employees or
<br />subcontractors. The insurance carrier is required to maintain an A.M. Best rating of not less than "A -:VII".
<br />• Coverages and Limits. CentralSquare, at its sole expense, shall maintain the types of coverages and minimum limits
<br />indicated below, unless otherwise approved by City in writing. These minimum amounts of coverage will not constitute
<br />any limitations or cap on Consultant's indemnification obligations under this Agreement.
<br />o Workers' Compensation, statutory limits, and Employer's Liability with limits no less than $1,000,000.
<br />The Worker's Compensation policy shall contain an endorsement stating that the insurer waives any right
<br />to subrogation against the City, its officers, agents, employees, and volunteers.
<br />Commercial General Liability insurance, covering bodily injury and property damage liability, products &
<br />completed operations, with minimum limits $1,000,000 each occurrence for bodily injury and property
<br />damage, $2,000,000 general aggregate. The Commercial General Liability insurance policy shall be
<br />endorsed to name the City, its officers, agents, employees and volunteers as additional insureds, and to
<br />state that the insurance will be primary and not contribute with any insurance or self-insurance
<br />maintained by the City.
<br />o Business Auto Liability insurance, covering any vehicle used by vendor in performance of work for
<br />CentralSquare or around CentralSquare's premises. Limits no less than $1,000,000 each accident.
<br />o Cyber Liability Insurance, with limits not less than $2,000,000 per occurrence or claim, $2,000,000
<br />aggregate. Coverage shall be sufficiently broad to respond to the duties and obligations as is undertaken
<br />by CentralSquare in this agreement and shall include claims involving infringement of intellectual
<br />property, infringement of copyright, trademark, trade dress, invasion of privacy violations, information
<br />theft, damage to or destruction of electronic information, release of private information, alteration of
<br />electronic information, extortion and network security. The policy shall provide coverage for breach
<br />response costs as well as regulatory fines and penalties as well as credit monitoring expenses with limits
<br />sufficient to respond to these obligations. The policy shall provide that the City and its officers, officials,
<br />employees, and agents shall be additional insureds, and the policy shall be primary and non-contributory.
<br />Providing Certificates of Insurance and Endorsements. Prior to City's execution of this Agreement, CentralSquare shall
<br />provide to City certificates of insurance and above -referenced endorsements sufficient to satisfaction of City's Risk
<br />Manager. In no event shall CentralSquare commence any work or provide any Services under this Agreement until
<br />certificates of insurance and endorsements have been accepted by City's Risk Manager.
<br />Notice of Cancellation. This insurance will be in force during the life of the Agreement and any extensions of it and
<br />will not be canceled without CentralSquare providing thirty (30) days prior written notice to City sent pursuant to the
<br />Notice provisions of this Agreement.
