Representatives of Authoritv. References in this Agreement to "Authority" shall mean <br />the Authority Board of Directors and all actions to be taken by Authority shall be <br />taken by the Authority Board of Directors except as provided below. The Authority <br />Board of Directors may by formal action taken at an open meeting of the Board of <br />Directors delegate authority to the Executive Director and may permit the Executive <br />Director, in turn, to delegate in writing some or all of such authority to subordinate <br />officers. Contractor may rely upon actions taken by such delegates if they are within <br />the scope of the authority properly delegated to them. <br /> <br />B. Representative of Contractor. Contractor shall, by the Effective Date, designate in <br />writing a responsible officer who shall serve as the representative of Contractor in all <br />matters related to the Agreement and shall inform Authority in writing of such <br />designation and of any limitations upon his or her authority to bind Contractor. <br />Authority may rely upon action taken by such designated representative as actions of <br />Contractor unless they are outside the scope of the authority delegated to him/her by <br />Contractor as communicated in writing to Authority. <br /> <br />27 12.11 DUTY OF CONTRACTOR NOT TO DISCRIMINATE <br /> <br />28 In the performance of this Agreement Contractor shall not discriminate, nor permit any <br />29 subcontractor to discriminate, against any employee, applicant for employment, or user <br />30 of the Shoreway Center on account of race, color, national origin, ancestry, religion, sex, <br />31 age, physical disability, medical condition, sexual orientation, marital status, or other <br />32 characteristic, in violation of any applicable federal or state law. <br /> <br />33 12.12 RIGHT TO INSPECT CONTRACTOR OPERATIONS <br /> <br />34 Authority shall have the right, but not the obligation, to observe and inspect all of the <br />35 Contractor's operations under this Agreement. In connection therewith, Authority shall <br />36 have the right to enter facilities used by Contractor during operating hours (and to enter <br />37 the Shoreway Center at any time), speak to any of Contractor's employees and receive <br />38 cooperation from such employees in response to inquiries. In addition, upon reasonable <br />39 notice and without interference with Contractor's operations, Authority may review and <br />40 copy any of Contractor's operational and business records related to this Agreement.
