AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES <br />STARVISTA <br />(Daybreak Rehabilitation Project) <br />This Amendment No. 1 (the "Amendment No. 1 ") is entered into and effective as <br />of March 26, 2021, by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California ("City"), and STARVISTA, a California <br />nonprofit organization ("Subrecipient") (collectively, the "Parties"). <br />RECITALS <br />A. The Parties previously executed that certain Agreement, dated as of <br />October 21, 2020, (the "Original Agreement"), related to a sewer line improvement within <br />the County right-of-way. <br />B. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1 (the "Original Agreement" and "Amendment No. 1" are <br />collectively known as the "Agreement"). <br />C. Rather than using a trenchless process, the sewer line improvement will be <br />accomplished using a standard dig and replace method. Accounting for a $3,000 <br />donation to the project by the contractor, the total increase in project cost is $4,900. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. City will pay Subrecipient an additional not -to -exceed amount of four <br />thousand nine hundred and No/100 Dollars ($4,900) for the completion of all the services <br />described in the Original Agreement, using a standard dig and replace method rather than <br />using a trenchless process. Including all amendments through Amendment No. 1, the <br />total amount payable under the Agreement will be a not -to -exceed amount of Twenty Nine <br />Thousand Two Hundred Fifty and No/100 Dollars ($29,250). <br />2. All other provisions of the Agreement will remain in full force and effect. <br />3. All requisite insurance policies to be maintained by Subrecipient pursuant <br />to the Agreement will include coverage for this Amendment. <br />4. The individuals executing this Amendment and the instruments referenced <br />in it on behalf of Subrecipient each represent and warrant that they have the legal power, <br />right and actual authority to bind Subrecipient to the terms and conditions of this <br />Amendment. <br />5. Electronic Signatures. If all Parties agree, electronic signatures may be <br />used in place of original signatures on this Agreement.
