REV: 10-06-2022 VR <br />POLICE LEASE SECOND AMENDMENT <br />This Second Amendment is (“Second Amendment”) made as of this __ day of October, <br />2022 by and between 2215 Broadway RWC, LLC, a California limited liability company (“Lessor”) <br />and the City of Redwood City, a charter city and municipal corporation (“City”). <br />Recitals <br />A. Landlord and Tenant are parties to that certain Lease dated April 7, 2021 and amended <br />January 26, 2022 (collectively, the ”Lease”). The Lease is incorporated herein by this <br />reference. Pursuant to the Lease, Landlord has leased to Tenant space currently <br />containing approximately 900 square feet located at 2215 Broadway Street, Redwood City, <br />California (the “Premises”). <br />B. Tenant and Landlord mutually desire to amend the Lease to extend the Term of the Lease <br />upon the terms and conditions hereinafter set forth. <br />NOW, THEREFORE, in consideration of the mutual covenants and agreements herein <br />contained and other good and valuable consideration, the receipt and sufficiency of which are <br />hereby acknowledged, Landlord and Tenant agree as follows: <br /> <br />1.Recitals; Capitalized Terms. The foregoing recitals are incorporated by <br />reference into this Second Amendment. Capitalized terms used herein and <br />not otherwise defined shall have the meanings given to such terms in the <br />Lease. <br />2. Extension Term. The current Term of the Lease, which is scheduled to expire on <br />January 31, 2023, is hereby extended for a period of 12 months (the “Extension <br />Term”), commencing February 1, 2023 and expiring January 31, 2024, unless <br />sooner terminated pursuant to the terms of the Lease. <br />3. Rent. During the Extension Term the City will occupy the Premises at no cost. If <br />and when the Parties agree to any additional extension term, the Parties will agree <br />to payment terms (if any), which terms shall be included in any written extension <br />agreement. <br />4.Ratification of Lease. The Lease, as amended by this Second <br />Amendment, is hereby ratified, confirmed and approved in all respects. In <br />the event of any inconsistency between the provisions of this Second <br />Amendment and the provisions of the Lease, the provisions of this Second <br />Amendment shall govern. <br />5.Entire Agreement. This Second Amendment sets forth the entire <br />understanding of the parties in connection with the subject matter hereof. <br />There are no agreements between Lessor and City relating to the Lease <br />other than those set forth in writing and signed by the parties.
