REV: 10-11-23 VR <br />POLICE LEASE THIRD AMENDMENT <br />This Third Amendment is (“Third Amendment”) made as of this ____ day of <br />October, 2023 by and between 2215 Broadway RWC, LLC, a California limited liability <br />company (“Lessor”) and the City of Redwood City, a charter city and municipal corporation <br />(“City”). <br />Recitals <br />A. Landlord and Tenant are parties to that certain Lease dated April 7, 2021 and <br />amended January 26, 2022 and November 22, 2022 (collectively, the “Lease”). The <br />Lease is incorporated herein by this reference. Pursuant to the Lease, Landlord has <br />leased to Tenant space currently containing approximately 900 square feet located <br />at 2215 Broadway Street, Redwood City, California (the “Premises”). <br />B. Tenant and Landlord mutually desire to amend the Lease to extend the Term of the <br />Lease upon the terms and conditions hereinafter set forth. <br />NOW, THEREFORE, in consideration of the mutual covenants and agreements herein <br />contained and other good and valuable consideration, the receipt and sufficiency of which <br />are hereby acknowledged, Landlord and Tenant agree as follows: <br /> <br />1.Recitals; Capitalized Terms. The foregoing recitals are incorporated by <br />reference into this Third Amendment. Capitalized terms used herein and <br />not otherwise defined shall have the meanings given to such terms in the <br />Lease. <br />2.Extension Term. The current Term of the Lease, which is scheduled to <br />expire on January 31, 2024, is hereby extended for a period of 12 months <br />(the “Extension Term”), commencing February 1, 2024 and expiring <br />January 31, 2025, unless sooner terminated pursuant to the terms of the <br />Lease. <br />3.Rent. During the Extension Term the City will occupy the Premises at no <br />cost. If and when the Parties agree to any additional extension term, the <br />Parties will agree to payment terms (if any), which terms shall be included <br />in any written extension agreement. <br />4.Ratification of Lease. The Lease, as amended by this Third <br />Amendment, is hereby ratified, confirmed and approved in all respects. In <br />the event of any inconsistency between the provisions of this Third <br />Amendment and the provisions of the Lease, the provisions of this Third <br />Amendment shall govern. <br />5.Entire Agreement. This Third Amendment sets forth the entire <br />understanding of the parties in connection with the subject matter hereof. <br />There are no agreements between Lessor and City relating to the Lease <br />other than those set forth in writing and signed by the parties.
