1. 10. "City Identified Contact" means the person or persons designated in <br />writing by the City to receive Security Incident or Data Breach notification, and shall <br />initially be the person listed in Section 24. <br />1.11. "Security Incident" means the potentially unauthorized access by <br />non -authorized persons to Personal Data or Non -Public Data that Consultant <br />believes could reasonably result in the use, disclosure or theft of City's <br />unencrypted Personal Data or Non -Public Data within the possession or control of <br />Consultant, including but not limited to the theft or loss of encrypted data. A <br />Security Incident may or may not turn into a Data Breach. <br />2. TERM OF AGREEMENT. This Agreement and the services set forth in Exhibit A <br />shall become effective on April 1, 2021, and shall be effective for three (3) calendar years <br />from said date unless otherwise expressly extended and agreed upon by both Parties or <br />terminated by either Party as provided herein. <br />3. SCOPE OF SERVICES. Subject to the terms and conditions of this Agreement, <br />Consultant shall provide those services described in Exhibit A except that, to the extent any <br />provision in Exhibit A conflicts with this Agreement, the provisions of this Agreement govern. <br />The Scope of Services may be amended from time to time by way of written directive from <br />the City. <br />4. CITY AGENT. The City Manager, or her designee, for the purposes of this <br />Agreement, is the agent for the City; whenever approval or authorization is required, <br />Consultant understands that the City Manager, or her designee, has the authority to provide <br />that approval or authorization. <br />5. COMPENSATION FOR SERVICES. For the services described in Exhibit A, the City <br />agrees to pay Consultant a fixed fee of Seventeen Thousand Dollars ($17,000) for Year 1, <br />Twenty Thousand Dollars ($20,000) for Year 2, and Twenty Three Thousand Dollars <br />($23,000) for Year 3 for unlimited users and workflows related to permits, inspections and <br />code enforcement, and which amount shall include all expenses. The total amount payable <br />to Consultant under this Agreement shall not exceed Sixty Thousand Dollars ($60,000). No <br />additional compensation shall be paid for any other expenses incurred, unless first approved <br />by the City Manager, or her designee. <br />5.1 Consultant shall maintain adequate records and shall permit <br />inspection and audit by City of Consultant's charges under this Agreement. <br />Consultant shall make such records available to City during normal business hours <br />upon reasonable notice. Nothing herein shall convert such records into public <br />records, and they will be available only to City and any specified public agencies. <br />Such records shall be maintained by Consultant for one (1) year following <br />completion of the work under this Agreement unless a longer period of time is <br />required by state or federal law, in which event Consultant shall retain its records <br />for the time required by such laws. <br />REV: 03-24-21 PR Pilot Project Software Agreement for the Automated Permit and Land Management System <br />Camino Technologies Corporation <br />ATTY/AGR.2021.062/Camino Technolgy Solutions, Inc.
