1. 10. "City Identified Contact" means the person or persons designated in writing by the City to receive Security Incident or Data Breach notification, and shall initially be the person listed in Section 24. 1.11. "Security Incident" means the potentially unauthorized access by non -authorized persons to Personal Data or Non -Public Data that Consultant believes could reasonably result in the use, disclosure or theft of City's unencrypted Personal Data or Non -Public Data within the possession or control of Consultant, including but not limited to the theft or loss of encrypted data. A Security Incident may or may not turn into a Data Breach. 2. TERM OF AGREEMENT. This Agreement and the services set forth in Exhibit A shall become effective on April 1, 2021, and shall be effective for three (3) calendar years from said date unless otherwise expressly extended and agreed upon by both Parties or terminated by either Party as provided herein. 3. SCOPE OF SERVICES. Subject to the terms and conditions of this Agreement, Consultant shall provide those services described in Exhibit A except that, to the extent any provision in Exhibit A conflicts with this Agreement, the provisions of this Agreement govern. The Scope of Services may be amended from time to time by way of written directive from the City. 4. CITY AGENT. The City Manager, or her designee, for the purposes of this Agreement, is the agent for the City; whenever approval or authorization is required, Consultant understands that the City Manager, or her designee, has the authority to provide that approval or authorization. 5. COMPENSATION FOR SERVICES. For the services described in Exhibit A, the City agrees to pay Consultant a fixed fee of Seventeen Thousand Dollars ($17,000) for Year 1, Twenty Thousand Dollars ($20,000) for Year 2, and Twenty Three Thousand Dollars ($23,000) for Year 3 for unlimited users and workflows related to permits, inspections and code enforcement, and which amount shall include all expenses. The total amount payable to Consultant under this Agreement shall not exceed Sixty Thousand Dollars ($60,000). No additional compensation shall be paid for any other expenses incurred, unless first approved by the City Manager, or her designee. 5.1 Consultant shall maintain adequate records and shall permit inspection and audit by City of Consultant's charges under this Agreement. Consultant shall make such records available to City during normal business hours upon reasonable notice. Nothing herein shall convert such records into public records, and they will be available only to City and any specified public agencies. Such records shall be maintained by Consultant for one (1) year following completion of the work under this Agreement unless a longer period of time is required by state or federal law, in which event Consultant shall retain its records for the time required by such laws.
