REV: 03-29-2022 RL AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES Cal-West Lighting and Signal Maintenance, Inc. This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of May 3, 2022, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Cal-West Lighting and Signal Maintenance, Inc., a California corporation (“Contractor”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services, dated as of May 3, 2021, (the “Original Agreement”) (the Original Agreement and this Amendment No. 1” are collectively known as the “Agreement”). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Contractor a not-to-exceed amount of One Million Two Hundred Thirty-Seven Thousand Six Hundred Eighty-Eighty Dollars ($1,237,688) for the completion of all the services described in Exhibit “A” of the Original Agreement, which sum will include all costs or expenses incurred by Contractor. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not- to-exceed amount of One Million Eight Hundred Twelve Thousand Six Hundred Eighty- Eight Dollars ($1,812,688). 2. Unless terminated earlier, the term of this Amendment No. 1 will be a period of two years from the effective date of this Amendment No. 1. Including all amendments, through Amendment No. 1, the total term of this Agreement is three years from the Effective Date of the Original Agreement. 3. Contractor will complete all work described in Exhibit “A” of the Original Agreement by May 2, 2024, provided that the City may grant extensions consistent with the extension provisions set forth in the Original Agreement. 4. All other provisions of the Agreement will remain in full force and effect. 5. All requisite insurance policies to be maintained by Contractor pursuant to the Agreement will include coverage for this Amendment No. 1. 6. The individuals executing this Amendment No. 1 and the instruments referenced in it on behalf of Contractor each represent and warrant that they have the legal power, right and actual authority to bind Contractor to the terms and conditions of this Amendment No. 1.
