REV: 04-03-24 LF AMENDMENT NO. 2 TO AGREEMENT FOR SERVICES Cal-West Lighting and Signal Maintenance, Inc. This Amendment No. 2 (the “Amendment No. 2”) is entered into and effective as of May 3, 2024, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Cal-West Lighting and Signal Maintenance, Inc., a California corporation (“Contractor”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services, dated as of May 3, 2021, (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement (“Amendment No. 1”), dated as of May 3, 2022 (the “Original Agreement” and “Amendment No. 1” are collectively known as the “Agreement”). C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 2incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Contractor a not-to-exceed amount of One Million Three Hundred Sixty-Four Thousand Five Hundred Fifty Dollars ($1,364,550) for the completion of all the services described in Exhibit “A”, which sum will include all costs or expenses incurred by Contractor. Including all amendments through Amendment No. 2, the total amount payable under the Agreement will be a not-to-exceed amount of Three Million One Hundred Seventy-Seven Thousand Two Hundred Thirty-Eight Dollars ($3,177,238). 2. The term of the Agreement is hereby extended for an additional two-year period, expiring on May 2, 2026. Including all extensions through this Amendment No. 2, the total term of the Agreement is five years. 3. Contractor will complete all work described in Exhibit “A” by May 2, 2026, provided that the City may grant extensions consistent with the extension provisions set forth in the Agreement. 4. All other provisions of the Agreement will remain in full force and effect. 5. All requisite insurance policies to be maintained by Contractor pursuant to the Agreement will include coverage for this Amendment No. 2. 6. The individuals executing this Amendment No. 2 and the instruments referenced in it on behalf of Contractor each represent and warrant that they have the legal power, right and actual authority to bind Contractor to the terms and conditions of ATTY/AGR.2024/Amend.
