CONSENT TO ASSIGNMENT AGREEMENT BY AND BETWEEN THE CITY OF REDWOOD CITY, CALIFORNIA, CONTRACT SWEEPING SERVICES, INC., AND CONTRACT SWEEPING SERVICES, LLC This consent to assignment agreement ("Consent Agreement") is entered into and effective as of 11 day of May , 2021 ("Effective Date"), by and between the City of Redwood City, California, a charter city and municipal corporation of the State of California, ("City"), Contract Sweeping Services, Inc., a California corporation, ("Assignor") and Contract Sweeping Services, LLC, a California limited liability company ("Assignee"). RECITALS A. City and Assignor previously executed that certain General Services Agreement, dated as of June 17, 2016 ("General Services Agreement"). B. Section 5 of the General Services Agreement, "Assignment and Subcontracting" provides as follows: "...Contractor shall not subcontract, assign or transfer any portion of the performance contemplated and provided for in this Agreement without the approval of the City Manager." C. The City has been informed that Assignee has purchased Assignor, and as such, Assignee will continue to provide the services to the City under the General Services Agreement, as it may have been amended from time to time. D. Assignee desires to obtain the City's consent to the assignment of all rights, obligations and interest in the General Services Agreement, as it may have been amended from time to time, from Assignor to Assignee. E. It is the desire of City to formally consent to the assignment by Assignor of all its rights, obligations and interest in the General Services Agreement, as it may have been amended from time to time, to Assignee. In consideration of the above referenced recitals and the following mutual covenants, commitments and obligations, the Parties agree, as follows: CONSENT AGREEMENT PROVISIONS 1. City hereby consents to the assignment of the General Services Agreement, as it may have been amended from time to time, and all of the rights, duties, obligations and interest set forth therein from Assignor to Assignee.
