REV: 07-27-22 JB <br />AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES <br /> (Fehr & Peers) <br />This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as <br />of ______________, 2022, by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and Fehr & Peers, a California <br />corporation (“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services, dated <br />as of June 30, 2021, (the “Original Agreement”). <br />C. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit <br />A, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Consultant will provide the additional services set forth in Exhibit “A”, and <br />such services will be considered part of the Services for purposes of the Agreement. <br />2. City will pay Consultant a not-to-exceed amount of Sixteen Thousand <br />Dollars ($16,000) for the completion of all the services described in Exhibit “A”, which sum <br />will include all costs or expenses incurred by Consultant. Including all amendments <br />through Amendment No. 1, the total amount payable under the Agreement will be a not- <br />to-exceed amount of Sixty Eight Thousand Three Hundred Dollars ($68,300). <br />3. All other provisions of the Agreement will remain in full force and effect. <br />4. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment No. 1. <br />5. The individuals executing this Amendment No. 1 and the instruments <br />referenced in it on behalf of Consultant each represent and warrant that they have the <br />legal power, right and actual authority to bind Consultant to the terms and conditions of <br />this Amendment No. 1. <br />6. If all Parties agree, electronic signatures may be used in place of original <br />signatures on this Amendment No. 1. Each Party intends to be bound by the signatures <br />on the electronic document, is aware that the other Parties will rely on the electronic <br />signatures, and hereby waives any defenses to the enforcement of the terms of this <br />Amendment No. 1 based on the use of an electronic signature.
