REV: 06-21-2021 MI <br />AGREEMENT FOR PROFESSIONAL SERVICES <br />(Financial Services for Silicon Valley Clean Water) <br />THIS AGREEMENT is made and entered into as of the _____ day of <br />__________________, 2021, by and between the Silicon Valley Clean Water <br />(“SVCW”), a joint powers authority in San Mateo County, and the CITY OF REDWOOD <br />CITY, a charter city and municipal corporation of the State of California ("Redwood <br />City”). <br />RECITALS <br />A. SVCW requires the financial services of Redwood City’s Administrative <br />Services Department. <br />B. Redwood City has the necessary experience and staff available to provide <br />these services. <br />C. This contractual arrangement is intended to achieve an effective and <br />efficient delivery of service to the benefit of both agencies. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Scope of Work. SVCW retains Redwood City to perform, and Redwood City <br />agrees to render, those financial services (the "Services") that are defined in attached <br />Exhibit "A," which is incorporated herein by reference. In the event of a conflict between <br />the provisions of Exhibit “A” and the terms of this Agreement, the terms of this <br />Agreement shall prevail. Services performed by City’s Director of Finance hereunder will <br />include services as Authority’s Controller pursuant to the joint exercise of powers <br />agreement establishing SVCW. <br />2. Term. Unless terminated earlier pursuant to Section 13, the term of this <br />Agreement will commence on July 1, 2021 and will be effective for a period of one year, <br />expiring on June 30, 2022. <br />3. Compensation. The total fee payable for the Services to be performed during the <br />term of this Agreement will not exceed Ninety Thousand Five Hundred Ten Dollars <br />($90,510). <br />4. Payment. SVCW shall remit payment within 30 days of receipt of monthly <br />invoices submitted by City. Invoices will briefly describe the services rendered during <br />the billing period. City will keep and maintain accurate records relation to invoices and <br />services rendered, which will be made available to SVCW upon request. <br />5. Status of City. City employees will perform the Services as an independent <br />contractor and shall not be deemed to be employees, agents, or officers of SVCW, <br />except for the designation of City’s Finance Director as SVCW’s Controller. <br />ATTY/AGR.2021.146/Silicon Valley Clean Water (Page 1 of 6) <br />July <br />9th
