15 <br /> <br />Agreement, the interpretation of this Agreement, the performance of <br />this Agreement, and any other dispute of any nature arising out of this <br />Agreement shall be governed by the laws of the State of California <br />without regard to its choice of law rules. Any dispute arising out of this <br />Agreement shall be venued either in the San Mateo County Superior <br />Court or in the United States District Court for the Northern District of <br />California. <br /> <br /> 5.11 Additional Services. Nothing contained herein shall preclude any City <br />from contracting separately for the provision of a higher level of service. <br />Any contract increasing the level of services will be supplemental to this <br />Agreement and will not affect the level of service provided for in this <br />Agreement. <br /> <br /> 5.12 Relationship of Parties. The Parties agree and understand that the <br />work/services performed or facilitated under this Agreement are <br />performed or facilitated by an independent Contractor, and not by an <br />employee of any City and that neither the County, its employees, the <br />Animal Control Contractor, or the Animal Licensing Contractor acquire <br />any of the rights, privileges, powers, or advantages of City employees, <br />and vice versa; however, the County may act as an agent on behalf of <br />each City where expressly set forth herein and, in such instances, each <br />City shall hold harmless, indemnify and defend the County from and <br />against any claims of any kind and/or actions for damages arising out <br />of the County’s actions undertaken on behalf of each City as set forth <br />herein. <br /> <br /> 5.13 Hold Harmless. <br />a. Each City shall hold harmless, indemnify and defend the County, <br />its officers, employees and agents from and against any and all <br />claims, suits or actions of every kind brought for or on account of <br />injuries or death of any person or damage to any property of any <br />kind whatsoever and whomsoever belonging which arise out of <br />the performance or nonperformance of each City’s covenants <br />and obligations under this Agreement and which result from the <br />negligent or wrongful acts of each City or its officers, employees, <br />or agents, including, but not limited to, those claims, suits, or <br />actions arising from activities performed by the County as a <br />representative of the City as set forth in Sections 3.6 and 4.2. <br /> <br />b. The County shall hold harmless, indemnify and defend each City, <br />its officers, employees and agents from and against any and all <br />claims, suits or actions of any kind brought for or on account of <br />injuries to or death of any person or damage to any property of <br />any kind and to whomsoever belonging which arise out of the <br />performance or non-performance of the County’s obligations
