REV: 06-23-23 JB AMENDMENT NO. 2 TO AGREEMENT FOR SERVICES Albion Environmental, Inc. This Amendment No. 2 (the “Amendment No. 2”) is entered into and effective as of _________________, 2023, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Albion Environmental, Inc., a California corporation (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement For Services with Albion Environmental, Inc., dated as of July 20, 2021, (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement (“Amendment No. 1”), dated as of April 21, 2022. (the “Original Agreement” and “Amendment No.1” are collectively known as the “Agreement”) C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 2, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Consultant a not-to-exceed amount of Thirty-Eight Thousand Five Hundred Ninety One Dollars and Forty Four Cents ($38,591.44) for the completion of all the services described in Exhibit “A” of the Original Agreement, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 2, the total amount payable under the Agreement will be a not-to-exceed amount of Ninety-Five Thousand Thirty Seven Dollars and Fourteen Cents ($95,037.14). 2. All other provisions of the Agreement will remain in full force and effect. 3. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No. 2. 4. The individuals executing this Amendment No. 2 and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Amendment No. 2. 5. If all Parties agree, electronic signatures may be used in place of original signatures on this Amendment No. 2. Each Party intends to be bound by the signatures on the electronic document, is aware that the other Parties will rely on the electronic signatures, and hereby waives any defenses to the enforcement of the terms of this Amendment No. 2 based on the use of an electronic signature.
