REV: 08-29-2022 SK <br />AMENDMENT NO. 2 <br />TO AGREEMENT FOR SERVICES <br /> (LifeMoves) <br />This Amendment No. 2 (the “Amendment No. 2”) is entered into and effective as <br />of _____________, 2022 by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and LifeMoves, a California <br />nonprofit organization (“Program Administrator”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services, dated <br />as of July 29, 2021, (the “Original Agreement”). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement (“Amendment No. 1”); dated as of October 26, 2021 (the “Original Agreement” <br />and “Amendment No. 1” are collectively known as the “Agreement”). <br />C. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 2, including any terms and conditions of the attached Exhibit <br />A, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Program Administrator will provide the additional services set forth in Exhibit <br />“A”, and such services will be considered part of the Services for purposes of the <br />Agreement. <br />2. City will pay Program Administrator a not-to-exceed amount of Twenty-Six <br />Thousand Dollars ($26,000) for the completion of all the services described in Exhibit “A”, <br />which sum will include all costs or expenses incurred by Program Administrator. Including <br />all amendments through Amendment No. 2, the total amount payable under the <br />Agreement will be a not-to-exceed amount of Three Hundred Eight-Nine Thousand Three <br />Hundred and Sixty Five Dollars and Thirty-Five Cents ($389,365.35). <br /> <br />3. Unless terminated earlier, the term of this Amendment No. 2 will be from <br />the effective date of this Amendment No. 2 through October 31, 2023. Including all <br />amendments, through Amendment No 2, the total term of this Agreement is July 27, 2021 <br />to October 31, 2023. <br />4. Program Administrator will complete all work described in Exhibit “A” by <br />October 31, 2023, provided that the City may grant extensions consistent with the <br />extension provisions set forth in the Agreement. <br />5.
