REV: 09-28-2021 SK <br />AMENDMENT NO. 1 <br />TO AGREEMENT FOR SERVICES <br /> (LifeMoves) <br />This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as <br />of __________________, 2021, by and between the City of Redwood City, a charter city <br />and municipal corporation of the State of California (“City”), and LifeMoves a California <br />nonprofit organization (“Program Administrator”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services, dated <br />as of July 29, 2021, (the “Original Agreement”). <br />B. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1. <br />C. The Parties desire to revise Section 2 of Exhibit A (“SCOPE OF SERVICES <br />AND FEES”) to the Original Agreement by deleting the Section 2 in its entirety and adding <br />language requiring the Program Administrator to identify households that will be the best <br />candidates for the Rapid Rehousing Program. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Section 2 of Exhibit A (“SCOPE OF SERVICES AND FEES”) to the <br />Original Agreement shall be deleted and replaced as follows: <br />2) Referral Process: <br />Program Administrator will identify households for the program likely to be the <br />best candidates and most likely to accept the Rapid Rehousing opportunity, <br />as well as most likely to be permanently housed successfully. <br />2. All other provisions of the Original Agreement will remain in full force and <br />effect. <br />3. All requisite insurance policies to be maintained by Program Administrator <br />pursuant to the Original Agreement will include coverage for this Amendment No. 1. <br />4. The individuals executing this Amendment No. 1 and the instruments <br />referenced in it on behalf of Program Administrator each represent and warrant that they <br />have the legal power, right and actual authority to bind Program Administrator to the terms <br />and conditions of this Amendment No. 1. <br />5. If all Parties agree, electronic signatures may be used in place of original <br />signatures on this Amendment No. 1.
