REV: 02-01-23 SK <br />AMENDMENT NO. 3 TO AGREEMENT FOR SERVICES <br /> (LifeMoves) <br />This Amendment No. 3 (the “Amendment No. 3”) is entered into and effective as <br />of _________________, by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and LifeMoves, a California <br />nonprofit organization (“Program Administrator”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services, dated <br />as of July 29, 2021, (the “Original Agreement”). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement (“Amendment No. 1”), dated as of October 26, 2021. <br />C. The Parties previously executed Amendment No. 2 to the Original <br />Agreement (“Amendment No. 2”), dated as of September 16, 2022 (the Original <br />Agreement and Amendments No. 1 and 2 are collectively known as the “Agreement”). <br />D. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 3, including any terms and conditions of the attached Exhibit <br />A, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Program Administrator will provide the additional services set forth in Exhibit <br />“A”, and such services will be considered part of the Services for purposes of the <br />Agreement. <br />2. City will pay Program Administrator a not-to-exceed amount of Forty-Four <br />Thousand Dollars ($44,000.00) for the completion of all the services described in Exhibit <br />“A”, which sum will include all costs or expenses incurred by Program Administrator. <br />Including all amendments through Amendment No. 3, the total amount payable under the <br />Agreement will be a not-to-exceed amount of Four Hundred Thirty-Three Thousand Three <br />Hundred Sixty-Five Dollars and Thirty-Five Cents ($433,365.35). <br /> <br />3. Unless terminated earlier, the term of this Amendment No. 3 will be from <br />the effective date of this Amendment No. 3 through February 28, 2024. Including all <br />amendments, through Amendment No. 3, the total term of this Agreement is July 27, 2021 <br />to February 28, 2024. <br />4. Program Administrator will complete all work described in Exhibit “A” by <br />February 28, 2024, provided that the City may grant extensions consistent with the <br />extension provisions set forth in the Agreement. <br />ATTY/AGR.2023/Amend.
