REV: 08-08-24 LF AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES (A&A REDWOOD GENERAL, INC. DBA REDWOOD GENERAL TIRE PROS) This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of____________________, 2024, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and A&A Redwood General, Inc. dba Redwood General Tire Pros, a California corporation (“Contractor”) (collectively, the “Parties”). RECITALS A. City and Redwood General Tire Service Co., Inc. (“RWG”) previously executed that certain Agreement for Services, dated as of July 20, 2021, (the “Agreement”). B. Contractor purchased RWG, and the Parties executed that certain Consent to Assignment Agreement, dated as of February 22, 2024, consenting to the assignment of all rights, obligations and interest in the Agreement from RWG to Contractor. C. While the Agreement expired on July 19, 2024, the Parties continued to work together to ensure continuation of Services. The Parties now wish to renew implementation of the Agreement as amended by this Amendment No. 1, and authorize the payment to the Contractor for Services rendered for the period between July 20, 2024 and the effective date of this Amendment No. 1. D. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No.1, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Contractor will provide the services set forth in Exhibit “A” to this Amendment No.1, and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay Contractor a not-to-exceed amount of One Hundred Thirty Thousand Five Hundred Ninety-One Dollars ($130,591) for the completion of all the services described in Exhibit “A” to this Amendment No.1, which sum will include all costs or expenses incurred by Contractor. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of Four Hundred Eighty-Eight Thousand Four Hundred Fourteen Dollars ($488,414). 3. Unless terminated earlier, the term of this Amendment No. 1 will be a period of one year from July 20, 2024. Including all amendments, through Amendment No. 1, ATTY/AGR.2024/Amend.
