REV: 03-30-2023 MI <br />SECOND AMENDMENT TO HOLD HARMLESS AND INDEMNIFICATION <br />AGREEMENT BETWEEN GOOGLE AND CITY OF REDWOOD CITY – <br />TRAINING ON GOOGLE PROPERTY <br />This Second Amendment to Hold Harmless and Indemnification Agreement between Google and <br />City of Redwood City – Training on Google Property (“Second Amendment”) is entered this <br />______ of ______, 2023, by and between the CITY OF REDWOOD CITY, a California charter <br />city and municipal corporation, whose address is 1017 Middlefield Road, Redwood City, CA <br />94063 (hereinafter “CITY”), and GOOGLE LLC, a Delaware limited liability company, whose <br />address is 1600 Amphitheatre Parkway, Mountain View, California 94043 (hereinafter <br />“GOOGLE”) with respect to the following facts: <br />RECITALS <br />WHEREAS, GOOGLE and CITY entered into that certain Hold Harmless and <br />Indemnification Agreement between Google and City of Redwood City – Training on Google <br />Property on August 11, 2021, and that certain First Amendment to Hold Harmless and <br />Indemnification Agreement between Google and City of Redwood City – Training on Google <br />Property on January 19, 2022 (collectively, hereinafter the “Agreement”), concerning certain <br />property owned by Google located at 1700 Seaport Blvd, Redwood City, CA 94063; and <br />WHEREAS, GOOGLE and CITY now desire to amend the Agreement to extend the <br />term thereof (the “Term”). <br />NOW, THEREFORE, in consideration of the Recitals and mutual promises <br />contained herein, CITY and GOOGLE agree as follows: <br />AGREEMENT <br />1. Extension of Term. The Term of the Agreement, which expired on December 31, <br />2022, is hereby extended for a period of twenty-five (25) months (the "Second Amendment <br />Extended Term"), commencing retroactively on January 1, 2023 (the "Extended Term <br />Commencement Date") and expiring on January 31, 2025, unless sooner terminated pursuant to <br />the terms of the Agreement, as hereby amended.
