REV: 03-30-2023 MI SECOND AMENDMENT TO HOLD HARMLESS AND INDEMNIFICATION AGREEMENT BETWEEN GOOGLE AND CITY OF REDWOOD CITY – TRAINING ON GOOGLE PROPERTY This Second Amendment to Hold Harmless and Indemnification Agreement between Google and City of Redwood City – Training on Google Property (“Second Amendment”) is entered this ______ of ______, 2023, by and between the CITY OF REDWOOD CITY, a California charter city and municipal corporation, whose address is 1017 Middlefield Road, Redwood City, CA 94063 (hereinafter “CITY”), and GOOGLE LLC, a Delaware limited liability company, whose address is 1600 Amphitheatre Parkway, Mountain View, California 94043 (hereinafter “GOOGLE”) with respect to the following facts: RECITALS WHEREAS, GOOGLE and CITY entered into that certain Hold Harmless and Indemnification Agreement between Google and City of Redwood City – Training on Google Property on August 11, 2021, and that certain First Amendment to Hold Harmless and Indemnification Agreement between Google and City of Redwood City – Training on Google Property on January 19, 2022 (collectively, hereinafter the “Agreement”), concerning certain property owned by Google located at 1700 Seaport Blvd, Redwood City, CA 94063; and WHEREAS, GOOGLE and CITY now desire to amend the Agreement to extend the term thereof (the “Term”). NOW, THEREFORE, in consideration of the Recitals and mutual promises contained herein, CITY and GOOGLE agree as follows: AGREEMENT 1. Extension of Term. The Term of the Agreement, which expired on December 31, 2022, is hereby extended for a period of twenty-five (25) months (the "Second Amendment Extended Term"), commencing retroactively on January 1, 2023 (the "Extended Term Commencement Date") and expiring on January 31, 2025, unless sooner terminated pursuant to the terms of the Agreement, as hereby amended. Google and the City acknowledge that either party may terminate the Agreement, as hereby amended, upon fifteen (15) days’ written notice to the other party unless a shorter termination period is mutually agreed upon by both parties pursuant to Article 3, Section C of the Agreement.
