REV: 07-15-21 MI following coverage: i. Commercial General Liability insurance, including liability coverage, on an occurrence basis for bodily injury, death, “broad form” property damage, products and completed operations, and personal and advertising injury, with coverage limits of not less than One Million Dollars ($1,000,000.00) per occurrence. ii. Workers’ Compensation insurance as required by law in California, including employer’s liability coverage for injury, disease and death, with coverage limits of not less than One Million Dollars ($1,000,000.00) per accident and employee. iii. Umbrella (Excess) Liability insurance on an occurrence form, with coverage limits of not less than One Million Dollars ($1,000,000.00) per occurrence. iv. Contractor’s coverage shall be considered primary without right of contribution to GOOGLE's and CBRE’s insurance policies. Policies shall contain a Severability of Interest clause. The certificate holder for all Proof(s) of Insurance must be made out to: Google LLC CBRE, Inc. 225 W Santa Clara Street, Suite 1200 San Jose, CA 95113 Description of the operations/locations: 1700 Seaport Blvd., Redwood City, CA 94063 Google acknowledges and agrees that the foregoing insurance requirements may be fulfilled by self-insurance. ARTICLE III - TERM AND TERMINATION A. The term of this Agreement shall commence upon the date first above written (the “Effective Date”) and shall expire on December 31, 2021. B. This Agreement may be extended by Amendment in writing, signed by both parties. C. This Agreement may be terminated by either CITY or GOOGLE upon fifteen (15) days’ written notice to the other party unless a shorter termination period is mutually agreed upon by both parties.
