REV: 01-12-2022 MI ATTY/AGR.2022 - Amend No. 1/Google (Page 1 of 3) <br />FIRST AMENDMENT TO HOLD HARMLESS AND INDEMNIFICATION <br />AGREEMENT BETWEEN GOOGLE AND CITY OF REDWOOD CITY – <br />TRAINING ON GOOGLE PROPERTY <br /> <br />This First Amendment to Hold Harmless and Indemnification Agreement between Google and <br />City of Redwood City – Training on Google Property (“First Amendment”) is entered this <br />day of January, 2022, by and between the CITY OF REDWOOD CITY, a California charter city <br />and municipal corporation, whose address is 1017 Middlefield Road, Redwood City, CA 94063 <br />(hereinafter “CITY”), and GOOGLE LLC, a Delaware limited liability company, whose address <br />is 1600 Amphitheatre Parkway, Mountain View, California 94043 (hereinafter “GOOGLE”) with <br />respect to the following facts: <br /> <br />RECITALS <br /> <br />WHEREAS, GOOGLE and CITY entered into that certain Hold Harmless and <br />Indemnification Agreement between Google and City of Redwood City – Training on Google <br />Property (hereinafter the “Agreement”) on August 11, 2021, concerning certain property owned <br />by Google located at 1700 Seaport Blvd, Redwood City, CA 94063; and <br /> <br />WHEREAS, GOOGLE and CITY now desire to amend the Agreement to extend the <br />term thereof (the “Term”). <br /> <br />NOW, THEREFORE, in consideration of the Recitals and mutual promises <br />contained herein, CITY and GOOGLE agree as follows: <br /> <br />AGREEMENT <br />1. Extension of Term. The Term of the Agreement, which expired on December 31, <br />2021, is hereby extended for a period of twelve (12) months (the "First Amendment Extended <br />Term"), commencing retroactively on January 1, 2022 (the "Extended Term Commencement <br />Date") and expiring on December 31, 2022, unless sooner terminated pursuant to the terms of <br />the Agreement, as hereby amended. Google and the City acknowledge that either party may <br />terminate the Agreement, as hereby amended, upon fifteen (15) days’ written notice to the other <br />party unless a shorter termination period is mutually agreed upon by both parties pursuant to <br />Article 3, Section C of the Agreement. <br /> <br />2. Counterparts; Transmittal. This First Amendment may be executed in any number <br />of counterparts, which may be delivered electronically, via facsimile or by other means.
