REV: 01-03-22 SK <br />Page 1 of 4 <br />AMENDMENT NO. 3 TO AGREEMENT FOR SERVICES <br /> (BeingLab, LLC) <br />This Amendment No. 3 (the “Amendment No. 3”) is entered into and effective as <br />of __________________, by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and BeingLab, LLC, a California <br />limited liability company (“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services, dated <br />as of May 28, 2021, (the “Original Agreement”). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement (“Amendment No. 1”), dated as of July 7, 2021. <br />C. The Parties previously executed Amendment No. 2 to the Original <br />Agreement (“Amendment No. 2”), dated as of November 24, 2021 (the Original <br />Agreement, Amendment No. 1 and Amendment No. 2 are collectively known as the <br />“Agreement”). <br />D. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 3, including any terms and conditions of the attached Exhibit <br />A, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Consultant will provide the additional services set forth in Exhibit “A”, and <br />such services will be considered part of the Services for purposes of the Agreement. <br />2. City will pay Consultant a not-to-exceed amount of Seven Thousand Five <br />Hundred Dollars ($7,500) for the completion of all the services described in Exhibit “A”, <br />which sum will include all costs or expenses incurred by Consultant. Including all <br />amendments through Amendment No. 3, the total amount payable under the Agreement <br />will be a not-to-exceed amount of Twenty Six Thousand Seven Hundred Dollars <br />($26,700). <br /> <br />3. All other provisions of the Agreement will remain in full force and effect. <br />4. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment No. 3. <br />5. The individuals executing this Amendment No. 3 and the instruments <br />referenced in it on behalf of Consultant each represent and warrant that they have the <br />legal power, right and actual authority to bind Consultant to the terms and conditions of <br />ATTY/AGR.2022/Amend.
