REV: 12-05-2022 SK <br />AMENDMENT NO. 6 <br />TO AGREEMENT FOR SERVICES <br />BeingLab, LLC <br />This Amendment No. 6 (the “Amendment No. 6”) is entered into and effective as <br />of ________________, 2022 by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and BeingLab, LLC, a California <br />limited liability company (“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services, dated <br />as of May 28, 2021, (the “Original Agreement”). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement (“Amendment No. 1”), dated as of July 7, 2021, Amendment No. 2 to the <br />Original Agreement (“Amendment No. 2”), dated as of November 24, 2021, Amendment <br />No. 3 to the Original Agreement (“Amendment No. 3”), dated as of January 25, 2022, <br />Amendment No. 4 to the Original Agreement (“Amendment No. 4”), dated as of March <br />17, 2022, and Amendment No. 5 to the Original Agreement (“Amendment No. 5”), dated <br />as of July 12, 2022 (the “Original Agreement” and “Amendments No. 1-5” are collectively <br />known as the “Agreement”). <br />C. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 6, including any terms and conditions of the attached Exhibit <br />A, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. City will pay Consultant a not-to-exceed amount of Thirty Thousand Dollars <br />($30,000) for the completion of all the services described in Exhibit “A” to this Amendment <br />No. 6, which sum will include all costs or expenses incurred by Consultant. Including all <br />amendments through Amendment No. 6, the total amount payable under the Agreement <br />will be a not-to-exceed amount of Sixty-Six Thousand Seven Hundred Dollars ($66,700). <br /> <br />2. All other provisions of the Agreement will remain in full force and effect. <br />3. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment No. 6. <br />4. The individuals executing this Amendment No. 6 and the instruments <br />referenced in it on behalf of Consultant each represent and warrant that they have the <br />legal power, right and actual authority to bind Consultant to the terms and conditions of <br />this Amendment No. 6. <br />ATTY/AGR.2022-Amend No. 6/Being Lab (Page 1 of 4) <br />December 12, 2022
