REV: 11-02-2021 RL AMENDMENT NO.1 TO AGREEMENT FOR SERVICES Zoppe Family, Inc. This Amendment No. 1 (the “Amendment No. One) is entered into and effective as of _________________, 2021 by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), Kerby Lovallo of New World Classics, an artist management Company (“Agent”) and Zoppe Family, Inc., an Italian Theatrical Circus (“Performers”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Live Performance Agreement, dated as of September 28, 2021 (the “Original Agreement”). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit “A”, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Consultant will provide the additional services set forth in Exhibit “A”, and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay Consultant a flat-rate amount of Forty Thousand Five Hundred Dollars ($40,500) for the completion of all the services described in Exhibit “A”, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not- to-exceed amount of Three Hundred Fifty Two Thousand Four Hundred Ten Dollars ($352,410). 3. Unless terminated earlier, the term of this Amendment will be a period of 30 days from the effective date of this Amendment. Including all amendments, through Amendment No. 1, the total term of this Agreement is three months from the Effective Date of this Agreement. 4. Consultant will complete all work described in Exhibit “A” by December 2, 2021. 5. All other provisions of the Agreement will remain in full force and effect. 6. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No. 1.
