4. The City Council hereby approves and authorizes the City Manager or her <br />designee, to execute and enter into the Exchange Agreement in the form attached to the <br />staff report, subject to approval of the City Attorney, with such further minor conforming, <br />technical or clarifying changes or revisions as may be agreed to and approved by the City <br />Attorney, which do not materially increase the obligations of the City thereunder. The <br />City Manager or her designee and the City Clerk are further authorized and directed to <br />take such further actions and execute such documents on behalf of the City as are <br />necessary to carry out the transaction contemplated by the Exchange Agreement on <br />behalf of the City, including without limitation, execution of a grant deed with respect to <br />the City Property and a certificate of acceptance with respect to the County Property and <br />execution and delivery of all other documents necessary for the exchange of the City <br />Property for the County Property, including without limitation the Easement Agreement, <br />Public Services Easement Agreement, Memorandum of Lease and Lease Option <br />Agreement (all as defined in the Exchange Agreement). <br />5.
