be disbursed as requested by the Redwood City 2020 Executive Director in writing, subject to City administrative procedures. b. At no time shall the City be under any obligation to disburse money to Redwood City 2020 in excess of the amount on deposit. The Cabinet acknowledges that money received by the City will not be available for disbursement for three (3) business days after the funds have been deposited by City, or for a longer period, as deemed appropriate by City's Finance Director. 6. Hold Harmless. The County of San Mateo ("indemnitor") hereby agrees to defend, indemnify, and save harmless each partner organization of the Redwood City 2020 collaborative and its respective governing board, council, officers, boards commissions, agents, and employees (collectively, "Indemnitees") against and from any and all claims, suits, actions of every name, kind and description, which may be brought against Indemnitees, or any of them, by reason of any injury to, or death of, any person (including corporations, partnerships and associations) or damage suffered or sustained by any such person arising from the willful misconduct or any negligent act or omission of the County of San Mateo, any subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable, except to the extent caused by the active negligence, sole negligence, or willful misconduct of any partner organization of the Redwood City 2020 collaborative. 7. Acts and Omissions of Executive Director. The acts and omissions of the Executive Director or any other employees, agents or volunteers acting on behalf of Redwood City 2020 shall not in any way be construed as the acts and omissions of the City but shall be deemed as the acts and omissions of the Parties acting jointly. 8. Notices.
