I I ORIGINAL AMENDMENT NO. 5 TO EXTEND AND AMEND AGREEMENT FOR Professional Services Agreement for Initial Review and Analysis of the "Saltworks 50/50 Balanced Plan" Entitlement Application (Hart Howerton, Ltd.) This Amendment No. 5 is entered into and effective as of the 76 day of 2011, extending and amending the agreement dated September 4009 (the "Agreement ") by and between the City of Redwood City, Y, a charter city and municipal corporation of the State of California ( "City "), and Hart Howerton, LTD., ( "Consultant ") (collectively, the "Parties ") for Saltworks Project. RECITALS A. On September 5, 2009, the Parties executed Professional Services Agreement for Initial Review and Analysis of the "Saltworks 50/50 Balanced Plan" Entitlement Application; and B. On December 3, 2009, the Parties executed Amendment No. 1 to alter the Agreement's scope of work to expand professional services and related fees for Hart Howerton's subconsultant, Whit Manley of Remy, Thomas, Moose and Manly, LLP; and C. On January 8, 2010, the Parties executed Amendment No. 2 to extend the agreement for a period of nine weeks; and D. On February 18, 2010, the Parties executed Amendment No. 3 to extend the agreement for a period of five months; and E. On September 20, 2010, the Parties executed Amendment No. 4 to oversight the Environmental and Developmental Review Process; and F. The Parties have negotiated and agreed to amendments attached to and incorporated in by reference as Exhibit "A," Scope of Services and Fee. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. In addition to those services contained in the Agreement, as may have been amended from time to time, Consultant will provide those services described in Exhibit "A." With this Amendment, the total annual Agreement amount shall not exceed Two Million Seven Hundred Sixty Nine Thousand Four Hundred Ninety Six Dollars ($2,769,496). 2. City will pay Consultant for all work associated with those services described in Exhibit "A" on a time and materials basis not -to- exceed One Million One Hundred Fifty Thousand One Hundred Seventy Two Dollars ($1,150,172). Consultant will provide City, on a monthly basis, copies of invoices sufficiently detailed to include ATTY/ AGR/2011 /AMENDMENTNO.5SALTWORKS HART HOWERTON 052011 1
