REV: 05-31-22 MI <br />AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES <br /> West Yost & Associates, Inc. <br />This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as <br />of the ______ day of ______________, 2022, by and between the City of Redwood City, <br />a charter city and municipal corporation of the State of California (“City”), and West Yost <br />& Associates, Inc. dba West Yost, a California corporation (“Consultant”) (collectively, the <br />“Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services, dated <br />as of October 18, 2021 (the “Agreement”). <br />B. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Section 3 of the Agreement is hereby deleted and replaced by Section 3 <br />below. <br />“3. Term. Unless terminated earlier pursuant to Section 21, the term of this <br />Agreement will be for a period of one year from the Effective Date. The City <br />Manager may amend the Agreement to extend it for one additional two-year period <br />in an amount not to exceed Thirty Thousand Dollars ($30,000) for the extension <br />term. Any extension will require a written amendment executed by both parties <br />indicating the effective date and length of the extended Agreement.” <br />2. The first paragraph of Section 6 of the Agreement is hereby deleted and <br />replaced by the paragraph below. The remainder of Section 6 of the Agreement will <br />remain in full force and effect. <br />“6. Compensation. City will pay to Consultant a not-to-exceed amount of Sixty <br />Thousand Dollars ($60,000) for the completion of all the work and services <br />described herein, which sum will include all costs or expenses incurred by <br />Consultant, payable as set forth in Exhibit “A”. City will have the authority to <br />withhold a 10% retention until it has accepted all of the Services as complete.” <br />3. All other provisions of the Agreement will remain in full force and effect. <br />4. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment No. 1. <br />5.
