REV: 10-26-21 SK <br />To City: City of Redwood City <br />Attention: Water Public Works Superintendent <br />1400 Broadway <br />Redwood City, CA 94063 <br />To Licensee: Citizens Emergency Response and Preparedness Program <br />808 Portola Rd <br />Portola Valley, CA 94028 <br />25. Entire Agreement. This Agreement, including all Exhibits (which are hereby <br />incorporated by reference), contains the entire agreement between the parties and <br />supersedes whatever oral or written understanding they may have had prior to the <br />execution of this Agreement. No waiver of any condition in or breach of, and no alteration, <br />modification, or termination of this Agreement shall be valid unless made in writing and <br />signed by the waiving party. <br />26. Miscellaneous. This Agreement shall be deemed to be jointly prepared by <br />the parties and any ambiguities or uncertainties herein shall be construed neither for nor <br />against either of the Parties. The words "including" and "included," shall be interpreted as <br />though followed by the words "without limitation." The invalidity of any provision of this <br />Agreement as determined by a court of competent jurisdiction shall in no way affect the <br />validity of any other provision hereof. The individual executing this Agreement on behalf <br />of Licensee has full power and authority to execute and deliver the Agreement on behalf <br />of Licensee. This Agreement is not intended and shall not be construed to create any <br />third-party benefit. If any action is brought by either party against the other under this <br />Agreement, the prevailing party shall be entitled to recover, and the other party agrees to <br />pay, all attorneys' and other fees and costs fixed by the court. <br />27. Electronic Signatures. If all Parties agree, electronic signatures may be <br />used in place of original signatures on this Agreement. Each Party intends to be bound <br />by the signatures on the electronic document, is aware that the other Parties will rely on <br />the electronic signatures, and hereby waives any defenses to the enforcement of the <br />terms of this Agreement based on the use of an electronic signature. After all Parties <br />agree to the use of electronic signatures, all Parties must sign the document <br />electronically. <br />28. Authority. The individuals executing this Agreement and the instruments <br />referenced in it on behalf of Licensee each represent and warrant that they have the legal <br />power, right and actual authority to bind Licensee to the terms and conditions of this <br />Agreement. <br />29. Paragraph Headings. Headings in this Agreement are for convenience only <br />and are not part of any provision in this Agreement.
