<br />agents, or representatives) for loss or damage to any antennas, fixtures,
<br />equipment, and any other personal property on the site.
<br />14.2 Notice of Cancellation. This insurance will be in force during the life of the
<br />Agreement and any extensions of it and will not be canceled without Licensee
<br />providing thirty (30) days prior written notice to City sent pursuant to the Notice
<br />provisions of this Agreement.
<br />14.3 Providing Certificates of Insurance and Endorsements. Prior to City’s
<br />execution of this Agreement, Licensee will provide to City certificates of insurance
<br />and above-referenced endorsements sufficient to satisfaction of City’s Risk
<br />Manager. In no event will Licensee commence any work under this Agreement
<br />until certificates of insurance and endorsements have been accepted by City’s Risk
<br />Manager.
<br />14.4 Failure to Maintain Coverage. If Licensee fails to comply with these
<br />insurance requirements, then City will have the option to declare Licensee in
<br />breach.
<br />14.5 Submission of Insurance Policies. City reserves the right to require, at any
<br />time, complete copies of any or all required insurance policies and endorsements.
<br />15. Indemnification.
<br />15.1 To the extent permitted by law, Licensee, as a material part of the
<br />consideration to be rendered by City under this Agreement, shall
<br />exercise its privileges hereunder at its own risk and shall indemnify,
<br />defend, reimburse and hold harmless City, its officers, officials,
<br />employees, agents, representatives, volunteers, and each of them
<br />(collectively, "City Parties"), from and against any and all demands,
<br />claims, legal or administrative proceedings, losses, costs, penalties,
<br />fines, liens, judgments, damages and liabilities of any kind
<br />(collectively, "Claims"), arising in any manner out of any injury to or
<br />death of any person or damage to or destruction of any property
<br />occurring in, on or about the City Property, or any part thereof
<br />including the Site, whether such injury, death, damage or destruction
<br />is caused by the person or property of Licensee, its officers,
<br />directors, members, employees, agents, consultants, contractors or
<br />subcontractors, invitees, guests, or visitors (collectively, "Licensee
<br />Parties), relating to (a) any use, activity, error and/or omission under
<br />this Agreement, (b) any failure by Licensee to faithfully observe or
<br />perform any of the terms, covenants or conditions of this Agreement,
<br />(c) the use of the Site or any activities or omissions conducted
<br />thereon by Licensee or Licensee Parties, (d) any release or
<br />discharge, or threatened release or discharge, of any Hazardous
