(c) The City hereby grants to the Junior Lienholders the right, but not the <br />obligation, to cure any default under the City Loan Documents, and the City also agrees to accept <br />all such performance by the Junior Lienholders. <br />4. Notices. All notices required or permitted by any provision of this Agreement <br />must be in writing and sent by registered or certified mail, postage prepaid, return receipt <br />requested, or delivered by express delivery service, return receipt requested, or delivered <br />personally, to the principal office of the Parties as follows: <br />City: City of Redwood City <br />City Manager's Office- Housing Division <br />1017 Middlefield Road <br />Redwood City, CA 94063 <br />Attn: City Manager <br />Housing Authority: Housing Authority of the County of San Mateo <br />264 Harbor Blvd., Building A <br />Belmont, CA 94002 <br />Attn: Executive Director <br />County: County of San Mateo <br />Department of Housing <br />264 Harbor Blvd., Building A <br />Belmont, CA 94002 <br />Attn: Director <br />Borrower: 353 Main Street Apartments, L.P. <br />ROEM Development Corporation <br />1650 Lafayette Street <br />Santa Clara, CA 95050 <br />Attn: Stephen Emami <br />Such written notices, demands, and communications may be sent in the same manner to such <br />other addresses as the affected Party may from time to time designate as provided in this Section. <br />Receipt will be deemed to have occurred on the date marked on a written receipt as the date of <br />delivery or refusal of delivery (or attempted delivery if undeliverable). <br />5. Titles. Any titles of the sections or subsections of this Agreement are inserted for <br />convenience of reference only and are to be disregarded in interpreting any part of the <br />Agreement's provisions. <br />6. California Law and Venue. This Agreement is to be governed by and construed <br />in accordance with the laws of the State of California.
