<br />10 <br /> <br />AVEVA Clickwrap EULA PO APM MC (Excluding Process Optimization and Unified Supply Chain)-v4.6-14 July 2020 (JS) <br />performed, or in which AVEVA or any of its Affiliates are incorporated or operate, including without limitation the <br />United States of America, the United Kingdom, and the European Union or of any of its Member States. <br />“Software” means the software products (in object code (machine-readable) format only) licensed to Customer by <br />AVEVA pursuant to a Transaction Document, including any new releases, updates, or versions that AVEVA may <br />make available. <br />“Software Schedule” means the Software Schedule below. <br />“Streamlined Rules” has the meaning set forth in Section 14.10 (Binding Arbitration). <br />“TD Effective Date” has the meaning set forth in Section 10.2 (Transaction Document Term). <br />“TD Term” has the meaning set forth in Section 10.2 (Transaction Document Term). <br />“Term” has the meaning set forth in Section 10.1 (Term of GTCs). <br />“Third-Party Products” means products (including any software-as-a-service products) and software of a third- <br />party vendor supplied by AVEVA or incorporated by AVEVA into its Products. <br />“Trade Control Laws” means Export Control Laws and Sanctions Laws. <br />“Transaction Document” or “TD” means any Order Form entered into pursuant to this Agreement and any <br />schedules or other attachments thereto. <br />“$” shall mean lawful money of the United States. <br />ATTY/AGR.2021.312/E&M Electric and Machinery, Inc.
