REV: 10-04-2021 RL <br />EMERGENCY MANAGEMENT SERVICES AGREEMENT <br />BETWEEN THE CITIES OF SAN CARLOS AND REDWOOD CITY <br />This Agreement is entered into on , by and between the City of <br />San Carlos, a municipal corporation of the State of California, hereinafter called “the City,” and the City of <br />Redwood City, a charter city and municipal corporation of the State of California, hereinafter called “RWC,” <br />and collectively referred to as “the Parties.” <br />* * * <br />WHEREAS, RWC provides contract Fire Services to the City under the Second Amended and <br />Restated Agreement Between Cities of Redwood City and San Carlos for Fire & Emergency Services, as <br />it may be amended from time to time; and <br />WHEREAS, the City and RWC are committed to managing, planning, and training their respective <br />staff and community members in preparation for an emergency and actions to ensure safety during an <br />emergency; and <br />WHEREAS, the City will contract with a vendor to provide professional emergency management <br />services per the agreement attached hereto as Exhibit “B”, and the Parties desire to enter into this <br />Agreement for RWC to receive professional emergency management services from the City’s vendor <br />pursuant to Exhibit “B” to expedite delivering these services to their agencies both together and separately; <br />and <br />WHEREAS, the City will be the administrators of the emergency management services contract <br />attached as Exhibit “B” and will be responsible for paying all associated invoices; and <br />WHEREAS, the Parties will not involve themselves in the work requested by and solely for the other <br />party as long as the work is included in the emergency management services contract attached as Exhibit <br />“B” and does not exceed the amount authorized for each party as described in Exhibit “A”, except that as <br />administrator of the contract, the City must be the lead agency with regard to payment of invoices to <br />manage the contract and payment of funds efficiently; and <br />NOW, THEREFORE, it is agreed by the parties to this agreement as follows: <br />1.Payments <br />In consideration of the activities performed by the City in accordance with all terms, conditions, and <br />specifications set forth in this Agreement, the City shall receive and promptly review invoices from the <br />vendor. If the work is solely on behalf of RWC or is rendered for both agencies, the City will submit the <br />invoice to RWC for prompt review. RWC will inform the City of its approval of the invoice and the City will <br />make payments to the vendor based on the rates and in the manner specified in Exhibit “B”. The City shall <br />then invoice RWC for work performed by the vendor for its share of the work or work performed solely on <br />its behalf. RWC will issue payment for each invoice within thirty (30) business days of receipt of an invoice <br />from the City. RWC’s aggregate payment for work performed pursuant to the contract attached as Exhibit <br />B shall not exceed One Hundred Thousand ($100,000). <br />2.Term <br />The term of this Agreement will be from July 1, 2021 until the contract attached as Exhibit “B” expires. <br />ATTY/AGR.2021.213/City of San Carlos (Page 1 of 11) <br />December 2, 2021
