Department of Housing and Community Development. In the event that such income <br />determinations are no longer published, or are not updated for a period of at least eighteen (18) <br />months, the City shall provide the Developer with other income determinations which are <br />reasonably similar with respect to methods of calculation to those previously published by the <br />State. <br />(e) "Assignment Agreement" means the agreement pursuant to which the <br />Developer assigns to the City its rights and obligations with respect to certain agreements, Plans <br />and Specifications, and approvals, executed by the Developer and the City with regards to the <br />Loan and as a precondition to the making of the Loan, in the form attached hereto as Exhibit K, <br />incorporated herein by this reference. <br />(f) "Bid Package" means the package of documents Developer's general <br />contractor is required to distribute to potential bidders as part of the process of selecting <br />subcontractors for the Development. The Bid Package is to include the following: (i) an <br />invitation to bid; (ii) copy of the proposed construction contract; and (iii) all Construction Plans. <br />(g) "CEQA" means the California Environmental Quality Act, California <br />Public Resources Code §21000- §21177, as amended. <br />(h) "Certificate of Occupancy" means the final certificate of occupancy issued <br />by the City, or comparable City sign -off on the completion of construction and occupancy of the <br />Improvements. <br />(i) "Certified Access Specialist" means a certified access specialist registered <br />with the State of California Department General Services Division of State Architect and who <br />has met the requirements of Government Code Section 4459.5. <br />0) "City" means the City of Redwood City, a California charter city and its <br />successor and assigns. <br />(k) "City Council" means the City Council of the City. <br />(1) "City Documents" shall mean, collectively, this Agreement, the <br />Promissory Note, the Deed of Trust, the Regulatory Agreement, the Notice of Affordability <br />Restrictions on Transfer of Property and all other documents required to be executed by the <br />Developer in connection with the transaction contemplated by this Agreement. <br />(m) "City Event of Default" has the meaning set forth in Section 8.3(a). <br />(n) "Close of Escrow" means the date of recording of the Deed and the <br />recordation of the Deed of Trust, the Regulatory Agreement, and the Notice of Affordability <br />Covenants. <br />(o) "Collateral Documents" means the Developer's right, title and interest to <br />all project agreements, including but not limited to development reports, all contracts, architect's <br />agreements, engineer's agreements, management agreements, and all other contracts and <br />agreements which concern the development and/or operation of the Development, all <br />REV: 06-17-2020 PR <br />1199\09\2727850.8 <br />ATTY/AGR.2020.100/353 Main Street Apartments LP (Page 10 of 143) <br />
