Section 5.12 Safety Conditions. <br />(a) The Developer acknowledges that the City places a prime importance on <br />the security of City assisted projects and the safety of the residents and surrounding community. <br />The Developer agrees to implement and maintain throughout the Term the following security <br />measures in the Development: <br />(1) to the extent feasible employ defensible space design principles <br />and crime prevention measures in the operation of the Development including but not limited to <br />maintaining adequate lighting in parking areas and pathways; <br />(2) for the entire Term of this Agreement, the Developer shall cause <br />the Management Agent to participate in the San Mateo County Sheriff Department's Crime Free <br />Multi -Housing Unit Program, wherein specialized training and other resources are provided to <br />multi -family property owners and managers to reduce the potential for onsite criminal activity. <br />Completion of the Department's four (4) training phases and a Full Certification (Phase V) shall <br />be achieved and maintained by the Management Agent; and <br />(3) provide added security including dead -bolt locks for every entry <br />door, and where entry doors are damaged, replace them with solid -core doors. <br />(b) The City shall have the right to enter on the Property and/or contact the <br />Redwood City Police Department if it becomes aware of or is notified of any conditions that <br />pose a danger to the peace, health, welfare or safety of the residents and/or the surrounding <br />community, and to perform or cause to be performed such acts as are necessary to correct the <br />condition. <br />Section 5.13 Notice of Litigation. <br />The Developer shall promptly notify the City in writing of any litigation materially <br />affecting Developer, the Developer's ability to perform its obligations under this Agreement, or <br />the Property and of any claims or disputes that involve a material risk of such litigation. <br />ARTICLE 6. <br />ASSIGNMENT AND TRANSFERS <br />Section 6.1 Definitions. <br />As used in this Article, the term "Transfer" means: <br />(a) Any total or partial sale, assignment or conveyance, or any trust or power, <br />or any transfer in any other mode or form, of or with respect to this Agreement or of the <br />Development or any part thereof or any interest therein or any contract or agreement to do any of <br />the same; or <br />REV: 06-17-2020 PR <br />1199\09\2727850.8 <br />ATTY/AGR.2020.100/353 Main Street Apartments LP (Page 44 of 143) <br />
