Section 6.3 Prohibited Transfers. <br />(a) The limitations on Transfers set forth in this Section shall apply <br />throughout the Term. Except as expressly permitted in this Agreement, the Developer represents <br />and agrees that the Developer has not made or created, and will not make or create or suffer to be <br />made or created, any Transfer, either voluntarily or by operation of law without the prior written <br />approval of the City. <br />(b) Any Transfer made in contravention of this Section shall be void and shall <br />be deemed to be a default under this Agreement whether or not the Developer knew of or <br />participated in such Transfer. <br />Section 6.4 Permitted Transfers. <br />Notwithstanding the provisions of Section 6.3, the following Transfers shall be permitted <br />and are hereby approved by the City. <br />(a) Any Transfer creating a Security Financing Interest permitted pursuant to <br />the approved Financing Plan. <br />(b) Any Transfer directly resulting from the foreclosure of a Security <br />Financing Interest or the granting of a deed in lieu of foreclosure of a Security Financing Interest <br />or as otherwise permitted under Article 7. <br />(c) The leasing of residential units within the Development in accordance <br />with the Regulatory Agreement. <br />(d) The granting of easements or permits to facilitate the development of the <br />Property. <br />(e) The removal, or withdrawal in lieu of removal, of Borrower's general <br />partner for cause pursuant to the Partnership Agreement shall not require the City's consent or <br />constitute a default under this Agreement. Notwithstanding anything to the contrary set forth in <br />this Agreement or any of the Loan Documents, in the event that the general partner of Borrower <br />is removed by the limited partner of Borrower, or withdraws in lieu of being removed, for cause <br />following default under the Borrower's Partnership Agreement, the City hereby approves the <br />transfer of the general partner interest to an affiliate of the Investor Limited Partner of Borrower <br />(which affiliate is not a 501(c)(3) tax-exempt public benefit corporation and does not meet the <br />requirements of Section 4.6(c) or 5.1(b) hereof) to act as the interim replacement general partner <br />for a period of time not longer than one hundred twenty (120) days, with the understanding and <br />agreement that the replacement general partner following the interim general partner shall be <br />approved in advance and in writing by the City, which approval shall not be unreasonably <br />withheld, provided that: (i) all documents associated with the removal of the general partner, <br />including the Partnership Agreement, are submitted to the City for review and approval, which <br />approval shall not be unreasonably withheld or delayed; (ii) that the Partnership Agreement and <br />other partnership documents are consistent with and do not conflict with the Loan Documents <br />and the approved Financing Plan. <br />REV: 06-17-2020 PR <br />1199\09\2727850.8 <br />ATTY/AGR.2020.100/353 Main Street Apartments LP (Page 46 of 143) <br />
